50%? Seriously? So you want to turn the OP to an employee in his own company even long before the company does Series A, Series B and more funding? My dear brother, please cut him some slack biko. IMO, for a really, really good CTO, I’d offer a maximum of 15% - 20%.
I am Serious. We all want control, but end up giving our self more stress than before. I don’t mean exactly 50% but, what ever amount of equity you are holding you can still allocate that to your CTO. (Well technically that 50/50 ).
Eg: 35%, 35% and 30%. You 35%, CTO 35% and 30 % for Investors. I said Investors not Investor.
If you need more control then, legal agreement will help you get that regardless of the equity shared.
If you don’t want to share equity equally with your CTO. Please hire him or her.
Chai, I didn’t factor that in before oo. But since you’ve asked, I’d reduce the equity to a maximum of 5% if the CTO is being paid relatively well. He/She would only get more equity of like 10% if there’s a (significant) discount to her/his salary. But if he/she is on no pay, then we can talk about 15-20%.
PS: Note that we’re talking about a very good CTO here oo.

Risk is the counter-balance to equity. Low risk (well paid), low equity. High risk (no pay), then high equity. If you don’t pay your CTO, give him half the shares.
Exactly… this one will actually join to execute new functionalities and aid to evolve existing structures. Like said, tangible equity shall be delegated regarding his/her technical status. I seemingly detest stereotypes as to this.
Lot of plans my brother, and we’re already doing the crack - pretty well. Just for a fact that similar startups in the past failed doesn’t mean mine will fail.
Regardless of the afore… you could still lay down your suggestions.
Why would you give anybody more than 0% of a company IN ANTICIPATION of what the guy will do?
Nigeria is the only country in the world where people get paid before delivering value and everyone believes its reasonable.
Draw out an execution plan for the guy with all your key milestones.
Tell him what percentage shares or cash is associated with each milestone.
If he is too big to work for the shares, he will make a poor partner.
Don’t offer anybody 0.001% If they don’t earn it.
When you are done building that application, you will need 1,000,000x the value of work done by that CTO to promote and earn sustainable revenue. Never forget this point.
